Terms of Service - Customers
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Spring Street Entertainment LLC, doing business as THECLUBISDEAD ("we," "us," "our," or the "Platform"), governing your use of the THECLUBISDEAD mobile application ("App") and related services.
By creating an account, accessing the App, or purchasing tickets, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the App or our services.
2. About Our Platform
2.1 What We Do
THECLUBISDEAD is a ticketing platform that connects customers with event organizers. Through our App, you can:
- Discover events in your area
- Purchase tickets to events
- Store and display tickets for event entry
- Transfer tickets to other users
2.2 Our Role: Disclosed Agent
IMPORTANT: Please read this section carefully.
We operate as a disclosed agent and technology platform. This means:
- We are NOT the event organizer. We do not plan, produce, host, or control any events listed on our Platform.
- We are NOT the ticket seller. Event organizers are the "merchant of record" for all ticket sales. When you purchase a ticket, you are entering into a transaction directly with the event organizer—we merely facilitate that transaction.
- We are NOT responsible for events. The event organizer is solely responsible for all aspects of their event, including but not limited to: event content, quality, safety, venue conditions, performer appearances, scheduling, entry requirements, and customer experience.
- Our role is limited to providing the technology platform that enables event discovery, ticket purchases, and ticket delivery.
When you purchase a ticket through our Platform, you receive:
- A Ticket Sales Invoice from the event organizer (for the ticket price)
- A Booking Fees Invoice from THECLUBISDEAD (for our service fees)
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years old to create an account and use our services. By creating an account, you confirm that you are 18 years of age or older.
Individual events may have additional age requirements (such as 21+ for events serving alcohol). It is your responsibility to verify that you meet all age and entry requirements for any event before purchasing tickets.
3.2 Account Creation
To use our services, you must create an account by providing:
- A valid email address
- Verification via one-time password (OTP)
You agree to:
- Provide accurate and complete information
- Keep your account credentials secure
- Not share your account with others
- Not create multiple accounts
- Notify us immediately if you believe your account has been compromised
3.3 Account Security
You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
4. Ticket Purchases
4.1 Pricing and Fees
All ticket prices displayed in the App include:
- Ticket Price: Set by the event organizer (paid to organizer)
- Service Fees: Our platform and payment processing fees (paid to THECLUBISDEAD)
The total price shown at checkout is the final price you will pay. There are no hidden fees.
4.2 Payment Processing
- Payments are processed securely through Stripe, our third-party payment processor
- We accept major credit cards, debit cards, Apple Pay, and Google Pay
- By making a purchase, you agree to Stripe's terms of service
- All payment information is handled directly by Stripe—we do not store your full card details
4.3 Order Confirmation
Upon successful payment:
- You will receive an email confirmation with your purchase details
- Your tickets will appear in the "My Tickets" section of the App
- Each ticket includes a unique QR code for event entry
4.4 Purchase Limits
Event organizers may set limits on the number of tickets you can purchase per transaction or per account.
4.5 Ticket Availability
Ticket availability is subject to change without notice. Completing a purchase is subject to ticket availability at the time of payment confirmation.
5. Tickets and Entry
5.1 Ticket Delivery
All tickets are delivered electronically through the App. Each ticket contains a unique QR code that serves as your proof of purchase and entry credential.
5.2 QR Code Rules
- One scan per ticket: Each QR code can only be scanned once for entry
- Do not share your QR code publicly: If someone else scans your QR code before you, they may gain entry and your ticket will be invalidated
- Screenshots may not work: Some venues require the ticket to be displayed within the App
5.3 Entry Requirements
Entry to events is subject to:
- Presenting a valid ticket (QR code) at the venue
- Meeting all age requirements for the event
- Complying with the venue's and organizer's terms and conditions
- Presenting valid photo identification if requested
- Passing any security or safety checks required by the venue
The event organizer and venue reserve the right to refuse entry at their sole discretion, even if you hold a valid ticket.
5.4 Event Content Disclaimer
Events listed on our Platform may include:
- Mature themes and adult content
- Loud music, strobe lighting, fog machines, or other sensory effects
- Sale and consumption of alcohol (age restrictions apply)
- Age-restricted entry (18+, 21+, etc.)
- Specific dress codes or entry requirements
- Photography and video recording by organizers or attendees
We do not control event content. It is your responsibility to review event descriptions and contact the organizer directly if you have questions.
6. Ticket Transfers
6.1 In-App Transfers
You may transfer tickets to other registered users of the App using our in-app transfer feature:
- Both the sender and recipient must have valid THECLUBISDEAD accounts
- Transfers are final and cannot be reversed once accepted
- Some events may restrict or prohibit transfers at the organizer's discretion
6.2 No Resale
Ticket resale is strictly prohibited. You may not sell tickets for any amount of money or exchange them for goods, services, or anything of value.
Violations may result in cancellation of tickets without refund, termination of your account, and legal action.
7. Refund Policy
7.1 Event Cancellation
If an event is cancelled by the organizer:
- You will receive a full refund of the ticket price and service fees
- Refunds are processed automatically to your original payment method
- Refunds typically appear within 5-10 business days
7.2 Event Changes
Our Platform operates on a no-changes policy. If an event organizer needs to change significant details after tickets have been sold, the event must be cancelled and all tickets refunded. The organizer may create a new event with updated details.
7.3 Force Majeure
If an event is cancelled due to circumstances beyond the organizer's control (natural disasters, government orders, pandemics, etc.), you will still receive a full refund.
7.4 No Refunds for Change of Mind
Event tickets are exempt from cooling-off period rights under consumer protection laws because they are for leisure services on a specific date.
We do not offer refunds if:
- You change your mind about attending
- You are unable to attend for personal reasons
- You purchased the wrong tickets
- You are refused entry due to your own conduct
7.5 Dissatisfaction with Events
We are not responsible for your experience at events. If you are dissatisfied with an event, your recourse is with the event organizer, not with THECLUBISDEAD.
8. Account Termination
8.1 Termination by You
You may delete your account at any time through the App settings. You will retain access to valid tickets until events occur. Transaction records are retained as required by law.
8.2 Termination by Us
We may suspend or terminate your account for violation of these Terms, fraudulent activity, ticket resale, abusive behavior, or any conduct that harms the Platform or other users.
8.3 Effect of Termination
If we terminate your account, tickets for future events will be cancelled and refunded. You may not create a new account without written permission.
9. Intellectual Property
The App, including its design, features, content, logos, and underlying technology, is owned by Spring Street Entertainment LLC and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.
10. Limitation of Liability
10.1 Platform Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR EVENTS, EVENT ORGANIZERS, AND YOUR EVENT EXPERIENCE.
We are NOT liable for:
- Event cancellations, postponements, or changes
- Quality, safety, or content of events
- Actions or omissions of event organizers
- Venue conditions, security, or safety
- Performer appearances or no-shows
- Your personal experience at any event
- Any injury, loss, or damage occurring at events
Your sole remedy for event issues is against the event organizer, not THECLUBISDEAD.
10.2 Liability Cap
Our total liability shall not exceed the amount you paid for the specific ticket transaction giving rise to the claim.
10.3 Exclusions
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.
10.4 No Warranty
THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
11. Indemnification
You agree to indemnify and hold harmless Spring Street Entertainment LLC from claims arising from your use of the App, violation of these Terms, violation of third-party rights, attendance at events, or disputes with organizers.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States.
12.2 Informal Resolution
Before formal proceedings, contact us at legal@theclubisdead.com to attempt informal resolution. We will respond within 30 days.
12.3 Arbitration (US Users)
US users agree to resolve disputes through binding individual arbitration under AAA Consumer Arbitration Rules, except for small claims court or intellectual property disputes.
30-Day Opt-Out: You may opt out of arbitration by emailing legal@theclubisdead.com within 30 days of creating your account.
12.4 Class Action Waiver (US Users)
US users waive the right to participate in class actions. Claims must be brought individually.
12.5 UK and EU Users
The arbitration agreement does not apply to UK/EU users. You may bring proceedings in your country of residence or Wyoming, USA. UK users may also use the EU Online Dispute Resolution platform.
13. General Provisions
13.1 Changes to Terms
We may modify these Terms at any time with 30 days' notice for material changes. Continued use constitutes acceptance.
13.2 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and us.
13.3 Severability
If any provision is unenforceable, the remaining provisions continue in effect.
13.4 Assignment
You may not assign these Terms. We may assign without restriction.
